1. About these terms

These terms govern your use of the ProofNivo website (https://proofnivo.com) and the ProofNivo application (https://app.proofnivo.com), together “the Service”. The Service is provided by [Company legal name], [registered address], [company registration number, if any] (“ProofNivo”, “we”, “us”). By joining the early access list, creating an account or using the Service, you agree to these terms.

2. Early access

ProofNivo is in early access. Features may change, be limited, or be withdrawn, and the Service may be unavailable at times. Accounts are currently by invitation. Joining the early access list does not guarantee an invitation or a launch date.

3. Fees

Early access is currently provided free of charge. We will not charge you without first telling you the price and getting your agreement. Paid plans, if introduced, will be subject to additional terms.

4. Your account

You must give accurate information, keep your login details confidential and tell us promptly about any unauthorised use. You are responsible for activity under your account. You must be at least 18 and use the Service for business purposes.

5. Acceptable use and review rules

You must use ProofNivo lawfully and in line with the rules of the review platforms you use. In particular, you must not:

  • ask only satisfied customers for public reviews, or discourage or filter out unhappy customers from leaving them (“review gating”);
  • offer incentives for reviews, or write, buy or post fake or misleading reviews or testimonials;
  • display reviews or testimonials in a misleading way, or without the permission and context the law requires;
  • send review requests to people without a lawful basis to contact them;
  • upload unlawful content, malware, or anyone else’s data without permission, or try to break or overload the Service.

6. Your content and your customers’ data

You keep ownership of the content and data you put into ProofNivo. You give us permission to host and process it only to provide the Service. Where you enter your customers’ personal data, you are its controller and must have a lawful basis to collect it and to contact those customers; we process it on your behalf as described in our Privacy Policy. [Owner: add a data processing agreement before commercial launch.]

7. Reply drafts

ProofNivo can suggest draft replies to reviews. Drafts may be inaccurate or unsuitable. You are responsible for reviewing, editing and approving any reply before you publish it. ProofNivo does not post replies or send messages on your behalf unless you clearly instruct it to do so through a feature designed for that purpose.

8. Our intellectual property

The Service, its software, design and content (excluding your content) belong to us or our licensors. The free guides and templates on our website may be used and adapted for your own business.

9. Disclaimers

To the extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, especially during early access. We do not guarantee any number of reviews, ratings or business results.

10. Liability

Nothing in these terms limits liability that cannot be limited by law. Subject to that, we are not liable for indirect or consequential losses, or for loss of profits, revenue, data or goodwill, and our total liability arising from the Service during early access is limited to [amount, for example €100]. [Owner: confirm with legal counsel.]

11. Suspension and ending

You can stop using the Service and ask us to close your account at any time. We may suspend or end your access if you break these terms or if we discontinue the early access programme, giving reasonable notice where practical and the chance to export your data.

12. Changes

We may update these terms as the Service develops. We will post the new version here and, for significant changes, notify account holders before they take effect.

13. Governing law

These terms are governed by the laws of [country], and the courts of [city/country] have jurisdiction, without affecting any mandatory consumer or business protections available to you where you are based. [Owner to confirm.]

14. Contact

Questions about these terms: use our contact form or write to [legal contact email].
